Terms & Conditions

These terms govern use of this website and the advisory services offered by Tideglass. Please read them carefully before engaging our services.

Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

"Company", "We", "Us", "Our"

Tideglass, a change management advisory registered in Malaysia, operating from Level 27, Menara TM, Jalan Pantai Baharu, 50672 Kuala Lumpur.

"Client", "You", "Your"

Any individual or organisation accessing this Site or engaging the Company's services.

"Services"

The advisory services offered by the Company, including the Change Readiness Note, Change Communication Framework, and Programme Steward Advisory Retainer.

"Site"

This website and all pages associated with it.

"Agreement"

These Terms and Conditions, together with any scope note or engagement letter agreed in writing between the Company and the Client.

"Deliverable"

Any written document, framework, note, template, or workshop output produced by the Company as part of a service engagement.

Acceptance of Terms

By accessing this Site or engaging the Company's services, you confirm that you have read and agree to be bound by these Terms and Conditions. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation.

Use of this Site or our services is restricted to individuals who are 18 years of age or older and legally capable of entering into a binding agreement under Malaysian law.

If you do not agree to these terms, please do not use this Site or engage our services.

Service Description

Tideglass provides change management advisory services to Malaysian SMEs and owner-led firms. Our services are educational and advisory in nature. We do not make decisions on behalf of clients, and execution responsibility remains entirely with the client organisation.

Services are available to organisations located in Malaysia. Engagements are conducted primarily in English, and may include in-person or remote meetings as agreed.

The scope of each engagement is defined in a written scope note agreed between both parties prior to commencement.

User Responsibilities

When using this Site or engaging our services, you agree to:

  • Provide accurate and complete information in all communications and enquiry forms
  • Not use this Site for any unlawful purpose or in any way that may harm the Company or third parties
  • Not attempt to gain unauthorised access to any part of this Site or its associated systems
  • Not reproduce, distribute, or commercially exploit any content on this Site without prior written consent
  • Cooperate in good faith during any engagement, including providing timely responses and access to relevant information

Intellectual Property

All content on this Site — including text, structure, design, and methodology descriptions — is the property of Tideglass and is protected under applicable Malaysian intellectual property law.

Deliverables produced during a service engagement are provided for the client's internal use only. The client is granted a non-exclusive, non-transferable licence to use Deliverables within their own organisation. Deliverables may not be reproduced for commercial purposes or shared publicly without written consent.

The Company retains the right to reference engagement types and general outcomes (without identifying client details) in its own communications, unless the client objects in writing.

Payment Terms

All fees are quoted and payable in Malaysian Ringgit (MYR). Payment terms are set out in the engagement scope note agreed prior to commencement.

Change Readiness Note — RM 580

Full fee payable prior to commencement of the engagement.

Change Communication Framework — RM 2,200

50% payable upon agreement of scope; 50% payable upon delivery of the completed framework.

Programme Steward Advisory Retainer — RM 4,200/month

Monthly fee payable at the start of each calendar month. Minimum engagement period of six months applies.

Fees are non-refundable once work has commenced, except where the Company is unable to deliver the agreed scope due to circumstances within its control. In that case, a proportionate refund will be considered at the Company's discretion.

Service Delivery

The scope, timeline, and format of each engagement are defined in a written scope note. Changes to scope requested after commencement may result in revised fees or timelines, which will be agreed in writing before implementation.

The Company will provide services with reasonable skill and care. Timelines are indicative and may be affected by the availability of client-side contacts and timely provision of information requested.

All Deliverables are provided for advisory purposes only. The client retains full responsibility for all decisions made in connection with their change programme.

Confidentiality

Both parties agree to treat information shared during an engagement as confidential. The Company will not disclose client-specific information to third parties without written consent, except where required by law.

Disclaimers

This Site and all content within it are provided on an "as available" basis. The Company makes no representations about the completeness, accuracy, or suitability of the content for any particular purpose.

Advisory services provided by Tideglass are not a substitute for legal, financial, human resources, or other professional advice. Clients are encouraged to seek appropriate specialist guidance on matters outside the scope of change management advisory.

The Company does not warrant that specific outcomes will result from any engagement. The value of advisory work depends in part on how the client applies the guidance provided.

Limitation of Liability

To the extent permitted by Malaysian law, the Company's total liability to any client in connection with a service engagement shall not exceed the total fees paid by that client for the relevant engagement in the 12 months prior to the claim.

The Company shall not be liable for indirect, consequential, or special losses — including loss of revenue, business, or opportunity — arising from the use of this Site or any service engagement.

Nothing in these terms limits liability for fraud, death, or personal injury caused by the Company's negligence.

Indemnification

You agree to indemnify and hold the Company harmless from any claims, losses, or damages — including reasonable legal costs — arising from your breach of these Terms or your misuse of this Site or the Company's services.

Termination

Either party may terminate an engagement by providing written notice. Where a client terminates after commencement, fees for work completed to the date of notice remain payable. Fees for work not yet begun will not be charged.

The Company reserves the right to discontinue an engagement where a client's conduct is in material breach of these Terms, or where the engagement is no longer viable for reasons outside the Company's control.

Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.

Dispute Resolution

These Terms are governed by the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or any service engagement.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes informally. The party raising the dispute should write to the other party describing the issue. Both parties will make a reasonable effort to resolve the matter within 30 days.

Where informal resolution is not possible, disputes may be referred to mediation or, by agreement, arbitration under Malaysian law.

General Provisions

Entire agreement

These Terms, together with any written scope note or engagement letter, constitute the entire agreement between the parties regarding the subject matter.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.

Waiver

Failure to enforce any provision of these Terms at any time does not constitute a waiver of that or any other provision.

Assignment

You may not assign your rights or obligations under these Terms without prior written consent from the Company.

Changes to These Terms

The Company may update these Terms from time to time. Changes will be reflected in the "Last updated" date at the top of this page. Continued use of this Site or our services following any change constitutes acceptance of the updated Terms.

For ongoing service engagements, material changes to these Terms will be communicated in writing before taking effect.
